Welcome to MarketSpire. These Terms of Service ("Terms") govern your access to and use of marketspire.ai (the "Site") and any services provided by Marketspire Tech Inc. ("MarketSpire," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Use of the Site

You may use the Site for lawful purposes only. You agree not to:

  • Use the Site in any way that violates applicable law or regulation

MarketSpire is an AI-first marketing technology consultancy. The Site provides information about our services and allows visitors to contact us, schedule calls, and request information. Any engagement of paid services is governed by a separate written agreement (such as a Statement of Work or Master Services Agreement). In the event of a conflict between these Terms and a written services agreement, the written agreement controls for that engagement.

3. Intellectual Property

All content on the Site — including text, graphics, logos, images, videos, software, and the MarketSpire name and chevron logo — is owned by or licensed to MarketSpire and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any content on the Site without our prior written permission, except for personal, non-commercial viewing.

4. User Submissions

If you submit information through forms, emails, or other channels (including ideas, suggestions, or feedback), you grant MarketSpire a non-exclusive, royalty-free, worldwide, perpetual license to use that information for any lawful business purpose, including improving our services. Do not submit confidential information through the Site unless we have a signed non-disclosure agreement in place.

5. Third-Party Links and Services

The Site may link to or integrate with third-party websites, products, or services (including but not limited to Google, Meta, and our partner platforms). We do not control and are not responsible for the content, policies, or practices of third parties. Your use of third-party services is subject to their own terms and policies.

6. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

Information on the Site is provided for general informational purposes only and does not constitute legal, financial, marketing, tax, or other professional advice. You should consult appropriate professionals before making decisions based on Site content.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MARKETSPIRE AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100), OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER. THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

8. Indemnification

You agree to indemnify, defend, and hold harmless MarketSpire and its officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of another party.

9. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Site will be resolved exclusively in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

12. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms constitute the entire agreement between you and MarketSpire regarding the Site, superseding any prior agreements.
